A business contract is defined as a legally binding agreement between two or more persons or entities. One common reason why agreement letters are required is for instances where people have orally agreed to work for someone, but would still want a written agreement to document their terms. While oral agreements are considered legal and binding in many cases, they can be quite difficult to enforce in court.
A written agreement is a lot less risky compared to an oral agreement, mostly because having a physical document that clearly spells out each party’s rights and obligations in case of a disagreement, or perhaps even a breach, puts you in the right. Contrary to what many believe, you don’t have to use big, industry-specific words to make the contract enforceable. On financing terms, as is common with most large purchases, real estate properties have a third-party financing option that can be included in the contract that specifies the loan the buyer needs to help purchase the property. In contract law, a “material” breach of contract is a breach (a failure to perform the contract) that strikes so deeply at the heart of the contract that it renders the agreement “irreparably broken” and defeats the purpose of making the contract in the first place. Will money solve the problem and, if so, how much? How much has the breaching party already done to fulfill its end of the deal? The more likely it is that the breaching party can and will fix the problem, the less likely the breach of contract is material. If the breach of contract was willful or resulted from bad faith or unfair dealing and the case is brought to court, the court is more likely to presume a material breach of contract.

It’s not enough to simply claim that the other party committed a material breach of contract. Some contracts provide guidance as to what constitutes a material breach of contract. Many products and services that you purchase in your every day life come with a fixed price. Other services though, such as custom remodeling of your home, come with a variable cost based on how much the materials cost and any changes made during the process. Not all contractors use a cost plus percentage contract though. Cost plus percentage contracts are used when doing custom work or work that changes and therefore has costs that can’t be easily estimated. As an outdoor kitchen contractor, you probably offer a range of services. For custom built outdoor kitchens though, the customer may want a particular shaped counter with particular materials, and other very specific requests. Instead, you use a cost plus percentage contract. You use a cost plus percentage contract because you won’t know just how much your final bill will be until all the custom work is done. The benefits and disadvantages can vary based on whether you are the buyer or the contractor.
A futures contract is a legal agreement to buy or sell a particular commodity or asset at a predetermined price at a specified time in the future. Futures contracts are used by two categories of market participants: hedgers and speculators. Imagine an oil producer plans to produce one million barrels of oil over the next year. Retail traders and portfolio managers are not interested in delivering or receiving the underlying asset. In general, call options can be purchased as a leveraged bet on the appreciation of a stock or index, while put options are purchased to profit from price declines.
Put buyers have the right but not the obligation to sell shares at the strike price in the contract. Options are generally used for hedging purposes but can be used for speculation. In a call option transaction, a position is opened when a contract or contracts are purchased from the seller, also referred to as a writer. Buyers of put options are speculating on price declines of the underlying stock or index and own the right to sell shares at the strike price of the contract. Even though a contract may be an oral agreement but since it lacks material evidence, therefore contracts are generally written. When someone has been unjustly enriched, they’ve escaped paying for the benefit they’ve enjoyed. In summary, the defendant must have acknowledged receipt of, or accepted, something of value while making no effort to pay.

A contract case usually comes before a judge because one or both parties claim that the contract was breached. A breach is material if, as a result of the breaching party’s failure to perform some aspect of the contract, the other party receives something substantially different from what the contract specified. A breach is minor if, even though the breaching party failed to perform some aspect of the contract, the other party still receives the item or service specified in the contract.
